Spin-out management: theory and practiceNew startups often use the Internet to interact with their customers through which they detect low circulation costs and increase innovative assets. Most companies fail because they fail to adopt new changes. For innovations, the internal research and development department is essential for any testing (Chesbrough, H. 2003a). High-tech companies invest heavily in R&D department for revolution because companies consider it as a challenge and this drives companies towards spin-off (Ferrary, M. 2008). The strategies of multinationals or larger companies are not flexible compared to small businesses, because small businesses companies can easily merge or change their strategies depending on the environment. Since the mid-1980s, most larger companies have implemented some of the strategies of smaller companies such as free enterprise and entrepreneurship. In 1990 it was the era called corporate venturing. A study of the world's top 500 companies suggests that 90% of top management agree that the Internet will play a critical role in the management and organizational structure of their companies. New businesses normally use the Internet to interact with their customers which guide them to reduce distribution costs and produce innovative products. The main reason for the failure of larger companies is the collapse due to the inability to adapt and merge according to the environment. For innovation in new products, every company requires a research and development department. The Internet is a very important factor of change because it can update companies on the demands of their products. Spin-out business model defined here as a process by which a new or existing part of an enterprise is separated from the parent company with the aim of developing separately in an associated or unrelated manner...... middle of the paper ..... .addership to mobilize them. Successful adaptive changes build on the past. Organizational adaptation occurs through experiments. Adaptive leadership is an interactive process that involves three key activities: (1) observing events and patterns around you; (2) interoperate what you are observing (developing multiple hypotheses about what is actually happening); and (3) design interventions based on observations and interpretations to address the adaptive challenge you have identified. Two people who detect the same event or situation see different things, depending on their previous experiences and exceptional perspectives. Observing is a very subjective activity. (Ron Heifetz, 2009) Adaptive leadership is realistic leadership. Adaptive leadership is about responding to challenges and helping people through advice. The adaptive leader identifies practical difficulties .
